Retrailed Terms of Use

Effective Date: Oct 1, 2026

These Terms of Use ("Terms") govern your access to and use of Retrailed and related services provided by Retrailed ("Retrailed," "we," "us," or "our").

Retrailed is a professional identity and professional expertise platform that allows individuals, recruiters, employers, teams, and organizations to structure, manage, analyze, share, and use professional information and related workflows.

By creating an account, accessing or using Retrailed, submitting information through a Retrailed website or widget, or otherwise using the Services, you agree to these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

If you do not agree to these Terms, you must not use the Services.

1. Definitions

For purposes of these Terms:

"Services" means the Retrailed platform, applications, websites, widgets, APIs, portals, employer portals, profile buckets, and related services provided by Retrailed, including white-labeled or customer-branded versions of such services.

"User" means any individual or entity accessing or using the Services.

"Individual User" means a person using Retrailed for their own professional profile, career information, or other personal purposes.

"Organization" means a company, employer, recruiting agency, team, or other organizational customer using Retrailed.

"Organization Administrator" means a person authorized to administer an Organization's Retrailed account, users, permissions, subscription, and organizational data.

"Content" means information, data, documents, CVs, profiles, projects, skills, technologies, responsibilities, achievements, education, portfolio information, contact information, images, notes, job descriptions, candidate information, communications, and other material submitted to or created through the Services.

"Profile" means a professional profile or other structured representation of professional information created or maintained through Retrailed.

"Points" means usage credits included with or purchased for a Retrailed subscription.

2. Eligibility

Retrailed is intended for individuals who are 18 years of age or older.

By using the Services, you represent that:

  • you are at least 18 years old;
  • you have the legal capacity to enter into these Terms;
  • the information you provide is accurate to the best of your knowledge; and
  • you will use the Services in compliance with applicable laws and these Terms.

Retrailed does not knowingly permit individuals under 18 to create accounts or use the Services. If we become aware that an account was created by a person under 18, we may suspend or delete the account and associated information.

3. Accounts and Authentication

Retrailed currently supports authentication through Google authentication and magic-link authentication.

You are responsible for:

  • maintaining control of the email address and/or Google account used to access Retrailed;
  • maintaining the security of your authentication methods;
  • ensuring that no unauthorized person obtains access to your account; and
  • all activity conducted through your account, except to the extent such responsibility cannot legally be attributed to you.

You must promptly notify Retrailed if you believe your account has been accessed without authorization or if you become aware of any security issue affecting your account.

You must not share, transfer, sell, or otherwise improperly provide access to your account.

4. Use of the Services

Subject to these Terms, Retrailed grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purposes.

Retrailed may be used by individuals, recruiters, recruiting agencies, employers, HR professionals, teams, and organizations.

Organizations may invite or allow users to join their Retrailed organization accounts. A user may request to join an Organization, and the request may require approval by an Organization Administrator.

5. User Content and Ownership

You retain ownership of Content that you submit to Retrailed, except to the extent that ownership of particular Content belongs to another person or entity.

Nothing in these Terms transfers ownership of your Content to Retrailed.

You grant Retrailed a limited, worldwide, non-exclusive license to host, store, reproduce, process, analyze, transform, structure, display, transmit, and otherwise use your Content as reasonably necessary to:

  • provide and operate the Services;
  • create and maintain Profiles;
  • provide analytics, recommendations, insights, visualizations, and other Retrailed functionality;
  • process CVs and other documents;
  • provide sharing, recruiting, HR, and organizational functionality;
  • maintain security and prevent abuse;
  • provide customer support;
  • comply with legal obligations; and
  • otherwise perform the Services requested by you.

This license does not give Retrailed ownership of your Content.

You are responsible for ensuring that you have the necessary rights to submit Content to Retrailed and to grant the rights described above.

6. Organization-Managed Content

Retrailed supports a distinction between individually controlled Content and Content created within an Organization or/and by Recruiters.

6.1 Before joining an Organization

Content created by a user before joining an Organization remains under that user's control.

The Organization and its administrators do not automatically receive access to such Content.

A user may nevertheless voluntarily share such Content with the Organization, its administrators, or other Organization users through Retrailed's sharing functionality.

Sharing Content does not by itself transfer ownership of that Content.

6.2 While participating in an Organization

Content created by a user within the Organization and under its organizational workflows may be organization-managed.

Organization Administrators may manage, access, and administer organization-managed Content, users, profiles, permissions, and related information in accordance with the Organization's configuration and the Services.

Retrailed will provide appropriate notices within the application regarding the organization-managed nature of such Content.

6.3 After leaving an Organization

When a user is detached from an Organization:

  • Content created before joining the Organization remains under the user's control;
  • Content created after leaving the Organization remains under the user's control; and
  • Content created while the user was participating in the Organization remains with and under the control of the Organization.

A user's departure from an Organization does not automatically transfer organization-managed Content to the user.

The foregoing concerns Retrailed's access and management model and does not determine whether an Organization or individual legally owns underlying intellectual property between themselves. Such ownership is governed by the parties' separate agreements and applicable law.

7. Organization Administration

Organizations may designate multiple Organization Administrators.

Organization Administrators may have authority to:

  • invite and remove Organization users;
  • approve requests to join the Organization;
  • manage Organization users and profiles;
  • manage permissions and roles;
  • access organization-managed Content;
  • manage candidates and recruiting workflows;
  • manage Organization subscriptions and settings; and
  • perform other administrative functions made available through the Services.

Organizations are responsible for ensuring that their administrators and users are appropriately authorized.

Retrailed may restrict an administrator from removing their own account where doing so would leave the Organization without an administrator.

If an Organization nevertheless becomes unable to access an administrator account, Retrailed may handle the matter manually through support@retrailed.com, including by contacting remaining Organization users and determining an appropriate successor administrator.

8. Recruiter, Employer, and Candidate Data

Retrailed allows recruiters, employers, HR professionals, and hiring managers to process candidate information, including CVs, professional profiles, job descriptions, requirements, notes, interview information, hiring status, and related information.

The person or Organization submitting or controlling candidate information is responsible for ensuring that it has the necessary:

  • rights;
  • authority;
  • permissions;
  • lawful basis;
  • notices; and
  • consents, where required,

to provide and process that information through Retrailed.

This applies whether candidate information is submitted through:

  • the Retrailed application;
  • a Retrailed website;
  • an embedded CV-intake widget;
  • an employer portal;
  • a profile bucket; or
  • another Retrailed interface.

Retrailed provides technical mechanisms designed to support privacy, filtering, anonymization, consent collection, and appropriate handling of professional information. These mechanisms do not transfer the legal responsibility for candidate data from the recruiter, employer, HR professional, hiring manager, or other data controller to Retrailed.

9. CV Processing and Temporary Profiles

Retrailed may allow users to upload a CV without first creating a persistent Retrailed account.

In such cases, Retrailed may temporarily process the CV and create a temporary Profile.

Temporary Profiles and their associated original uploaded files that are not saved to a Retrailed account are retained for no more than 30 minutes, after which they are wiped.

If a user creates an account and saves the Profile, the information becomes subject to the applicable account and retention provisions of these Terms and the Privacy Policy.

A CV may also be submitted by a recruiter, employer, HR professional, or other third party on behalf of another person. The submitting party is responsible for having the necessary authority and lawful basis to submit and process that information.

10. Profile Sharing and Visibility

Retrailed provides multiple ways to share Profiles and professional information.

Depending on the features available to the account, Content may be:

  • kept private;
  • shared with authenticated Retrailed users;
  • shared through a secure web link;
  • included in a Profile Bucket;
  • made available through an Employer Portal; or
  • intentionally published as a public Profile.

Public Profiles are intended to be publicly accessible but are configured as noindex and are not intended to be indexed by search engines.

Sharing a Profile or Content provides access according to the selected sharing mechanism and does not by itself transfer ownership of the underlying Content.

Users remain responsible for selecting appropriate sharing settings.

11. AI-Powered Features

Retrailed may use artificial intelligence and machine-learning technologies to provide features including:

  • CV and document processing;
  • professional experience analysis;
  • career narratives;
  • recommendations;
  • insights;
  • summaries;
  • requirement analysis;
  • candidate analysis;
  • visualizations; and
  • other AI-assisted functionality.

AI-generated outputs may contain errors, omissions, inaccuracies, or inappropriate conclusions.

Users should review AI-generated outputs before relying on them.

Retrailed does not guarantee that AI-generated information is complete, accurate, unbiased, or suitable for a particular purpose.

AI-generated outputs must not be treated as the sole basis for employment, hiring, promotion, termination, compensation, or other significant decisions concerning an individual.

Recruiters, employers, and Organizations remain solely responsible for their hiring and employment decisions and for compliance with applicable employment, anti-discrimination, privacy, and other laws.

Retrailed does not itself make employment or hiring decisions.

12. Third-Party AI Providers

Retrailed may use third-party AI service providers to perform AI-enabled functions.

Retrailed may provide relevant Content to such providers where necessary to provide the requested functionality.

Retrailed does not intentionally provide user Content to third-party AI providers for the purpose of training their general-purpose AI models.

Retrailed does not currently train or fine-tune its own AI models using user Content.

Retrailed intends to require applicable AI service providers to process submitted information only as necessary to provide the relevant service and not use Retrailed user Content for their own purposes or model training, subject to the applicable provider arrangements and terms.

13. Recruiter and Hiring Decisions

Retrailed is a technology platform and does not act as an employer, recruiter, staffing agency, hiring authority, or employment decision-maker merely by providing the Services.

Retrailed may help users structure professional information, analyze job requirements, organize candidates, identify relevant information, and support evaluation workflows.

However:

  • employers and recruiters are responsible for their hiring decisions;
  • Organizations are responsible for their employment practices;
  • users must comply with applicable employment and anti-discrimination laws; and
  • Retrailed does not guarantee employment, hiring outcomes, candidate suitability, or successful recruitment.

14. Points and Usage Credits

Certain Retrailed plans include monthly Points.

Unless otherwise stated for a particular plan:

  • monthly included Points are allocated during the applicable billing cycle;
  • unused monthly included Points do not carry over to the next billing cycle;
  • separately purchased Points do not expire;
  • purchased Points carry forward between billing cycles; and
  • monthly included Points are consumed before purchased Points.

When a user changes subscription plans, remaining applicable Points are transferred to the new plan because those Points have already been paid for.

Organization Points are managed at the Organization level where applicable.

Retrailed may modify the number of Points required for particular features, subject to applicable subscription terms and legal requirements.

15. Subscriptions and Billing

Retrailed offers free and paid plans. Current plans, prices, included functionality, and Points are described on the applicable Retrailed pricing pages and interfaces.

Paid subscriptions are billed through Stripe.

Displayed prices are intended to be tax-inclusive, subject to applicable law and the manner in which taxes are required to be collected.

Subscriptions automatically renew unless cancelled.

15.1 Plan changes

When changing plans, remaining applicable Points are transferred to the new plan.

15.2 Cancellation

Users may cancel paid subscriptions.

For individual accounts, cancellation terminates the applicable subscription immediately.

Cancellation does not entitle the user to a pro-rata refund for the unused portion of the billing period.

Deleting an individual Retrailed account also terminates its active subscription.

Organizations are separate entities within Retrailed. An Organization Administrator may suspend an Organization subscription, but deleting an individual administrator account does not delete the Organization or automatically terminate its subscription.

15.3 Refunds

Subscription fees and purchased Points are generally non-refundable.

A refund may be provided where:

  • required by applicable law; or
  • expressly approved by Retrailed.

16. Organization Subscriptions and Data

An Organization is separate from the individual accounts of its administrators and users.

Suspension of an Organization subscription initiates a 30-day grace period.

During the grace period, the Organization may restore its subscription or take other available actions.

Following the grace period, Retrailed may permanently wipe the Organization's data.

An Organization may also request immediate deletion and full data wiping through the applicable Retrailed process.

Organization data is wiped except for billing history and other information Retrailed is legally required or permitted to retain.

17. Account Deletion and Data Retention

17.1 Individual accounts

An individual account may be deleted by the user.

Upon account deletion, Retrailed will wipe the account and associated data, except for:

  • billing history; and
  • records of Points spent where applicable to a paid Personal Pro or Recruiter or Recruiter Pro account.

17.2 Persistent accounts

Retrailed does not impose automatic expiration solely because an account is inactive.

However, Retrailed reserves the right to delete accounts and associated data that have remained inactive for an extended period.

Where practical, Retrailed may provide advance notice or an opportunity to retain the account.

17.3 Retention reminders

Retrailed may periodically notify users that their information remains stored and allow them to choose to keep, update, or delete their information.

Such notifications may be sent approximately every six months or at other intervals determined by Retrailed.

17.4 Legal retention

Notwithstanding the foregoing, Retrailed may retain information where reasonably necessary or legally required, including billing records, legal records, security records, fraud-prevention information, or information necessary to establish, exercise, or defend legal claims.

18. Data Export

Retrailed provides mechanisms for users to export their professional information.

Depending on the functionality available to the account, exports may include:

  • CV exports;
  • structured CSV exports; and
  • other formats made available by Retrailed.

Export functionality may evolve as the Services develop.

19. Acceptable Use

You must use Retrailed only for lawful and legitimate purposes.

You must not use the Services to:

  • violate any applicable law or regulation;
  • commit fraud or facilitate scams;
  • impersonate another person or entity;
  • submit false or misleading information for fraudulent purposes;
  • harass, threaten, abuse, or intimidate others;
  • send spam or unsolicited bulk communications;
  • conduct phishing or other deceptive activities;
  • distribute malware or malicious code;
  • attempt to compromise or interfere with the security or operation of the Services;
  • gain unauthorized access to another user's account or data;
  • scrape, crawl, harvest, or systematically extract data from the Services except through expressly authorized functionality;
  • reverse engineer or attempt to derive source code or proprietary algorithms, except where such restriction is prohibited by applicable law;
  • use Retrailed to build or operate an unauthorized competing service;
  • misuse candidate, employee, recruiter, or other personal information;
  • upload Content that you do not have the right or authority to use;
  • use the Services for unlawful discrimination or other unlawful employment practices;
  • manipulate, abuse, or circumvent Retrailed's Points or subscription systems;
  • interfere with other users' access to the Services; or
  • otherwise use the Services in a malicious, abusive, fraudulent, deceptive, or inappropriate manner.

Retrailed may investigate suspected violations and take appropriate action.

20. Communications

Retrailed may send service-related communications necessary to operate the Services, including:

  • account notifications;
  • authentication messages;
  • security alerts;
  • billing notifications;
  • service announcements;
  • important changes to the Services;
  • data-retention notifications; and
  • other operational communications.

Retrailed may also send optional product, informational, or promotional communications.

Users may manage applicable communication preferences and unsubscribe from optional communications in accordance with the mechanisms provided by Retrailed.

Certain transactional, security, legal, and service communications cannot be disabled while maintaining an account.

21. Privacy

Retrailed's collection, use, storage, disclosure, and other processing of personal information is described in the Retrailed Privacy Policy.

The Privacy Policy forms part of these Terms by reference.

Retrailed is intended for global use and may process information across different countries and jurisdictions through Retrailed and its service providers.

Retrailed intends to comply with applicable privacy and data-protection laws, including GDPR, UK GDPR, applicable U.S. state privacy laws, and other laws to the extent applicable.

22. Analytics and Operational Data

The Retrailed website may use analytics technologies, including Vercel Analytics, Google Analytics, Statcounter, and similar technologies that may be introduced in the future.

Where required by applicable law, non-essential website analytics may be subject to consent mechanisms.

The Retrailed application may process operational and security-related information as necessary to:

  • maintain service reliability;
  • perform load balancing;
  • detect and prevent abuse;
  • investigate security incidents;
  • audit activity;
  • protect users and the Services; and
  • operate the platform.

23. Security

Retrailed uses reasonable technical and organizational measures intended to protect information processed through Retrailed.

However, no internet-based service can guarantee absolute security.

You acknowledge that transmission and storage of information through online systems involves inherent risks.

You are responsible for maintaining the security of your own account and authentication methods.

24. Third-Party Services

Retrailed may use or integrate with third-party services, including infrastructure, authentication, payment, email, analytics, AI, and other service providers.

Current or potential providers include services such as:

  • Vercel;
  • Supabase;
  • Stripe;
  • Google;
  • third-party AI providers;
  • email/notification providers; and
  • analytics providers.

Third-party services are subject to their own terms and privacy policies.

Retrailed is not responsible for the availability, security, privacy practices, content, or terms of third-party services except to the extent required by applicable law.

25. Intellectual Property

The Retrailed Services and all related intellectual property are owned by or licensed to Retrailed.

This includes, without limitation:

  • Retrailed software;
  • source code;
  • object code;
  • databases;
  • platform architecture;
  • UI and UX;
  • visual design;
  • trademarks and branding;
  • proprietary workflows;
  • algorithms;
  • scoring and analytical methods;
  • system architecture;
  • documentation; and
  • other proprietary technology.

Except for the limited rights expressly granted under these Terms, no rights are granted to users.

You may not copy, reproduce, distribute, modify, reverse engineer, resell, sublicense, lease, or otherwise exploit the Services or their proprietary components except as expressly permitted by these Terms, separate mutual agreements, or applicable law.

Retrailed may use aggregated and anonymized information that does not reasonably identify individuals for analytics, statistics, service improvement, research, and other legitimate business purposes.

26. Recruiters, Organizations and User Intellectual Property

Retrailed does not determine whether an Organization or individual user owns particular professional information, work product, project information, or other underlying intellectual property.

Recruiters, Organizations and their users are responsible for establishing their respective rights through employment agreements, contractor agreements, confidentiality agreements, intellectual-property agreements, or other applicable arrangements.

Using Retrailed does not itself resolve disputes regarding ownership between an Organization and its users or a Recruiter and candidates.

27. Service Changes

Retrailed is under continuous development.

Retrailed may:

  • add new features;
  • modify existing features;
  • change workflows;
  • discontinue features;
  • modify interfaces;
  • change Points requirements;
  • introduce or discontinue third-party services; or
  • otherwise modify the Services.

Where required by applicable law, material changes will be communicated appropriately.

28. Availability

The Services are provided on an "as is" and "as available" basis.

Retrailed does not guarantee that:

  • the Services will always be available;
  • the Services will be uninterrupted;
  • the Services will be error-free;
  • all information will always be accurate or complete;
  • all features will remain available;
  • the Services will meet every particular business or professional requirement; or
  • the Services will be completely secure.

Service availability may be affected by maintenance, technical failures, third-party service failures, internet connectivity, force majeure events, security incidents, or other circumstances beyond Retrailed's reasonable control.

To the maximum extent permitted by law, Retrailed disclaims implied warranties not expressly stated in these Terms.

29. Suspension and Termination

Retrailed may suspend or terminate an account, Organization, or access to the Services where reasonably necessary, including in connection with:

  • violation of these Terms;
  • violation of applicable law;
  • fraud or suspected fraud;
  • scams or deceptive activity;
  • abuse or harassment;
  • security threats;
  • attempts to compromise the Services;
  • unauthorized access;
  • non-payment;
  • misuse of Points;
  • requests from law enforcement or governmental authorities;
  • legal obligations; or
  • discontinuation of the Services.

Retrailed may immediately suspend access where reasonably necessary to protect the Services, users, Organizations, or third parties.

Where appropriate, Retrailed may investigate an issue before making a final termination decision.

30. Effect of Suspension or Termination

During a suspension, Retrailed may preserve the affected account and Content while the matter is investigated or resolved.

Following termination, Retrailed may retain or delete information in accordance with its applicable retention and deletion policies.

Termination for violation does not prevent Retrailed from retaining information where reasonably necessary for security, fraud prevention, legal compliance, dispute resolution, or establishment, exercise, or defense of legal claims.

User-requested account deletion remains subject to the specific deletion rules described in these Terms.

31. User Responsibility

You are responsible for:

  • your use of the Services;
  • Content you submit;
  • your account activity;
  • your interactions with other users;
  • ensuring you have the rights and permissions necessary to submit Content;
  • complying with applicable laws; and
  • complying with the requirements applicable to your role, including recruiter, employer, HR, hiring manager, Organization Administrator, or candidate.

Organizations are responsible for their users, administrators, candidate data, employment practices, permissions, and use of the Services.

32. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Retrailed, its affiliates, officers, directors, employees, contractors, and service providers from claims, liabilities, damages, losses, and expenses arising out of or related to:

  • your violation of these Terms;
  • your unlawful use of the Services;
  • your Content;
  • your violation of another person's rights;
  • your failure to obtain required rights or permissions;
  • your handling of candidate or third-party personal information; or
  • your use of the Services in violation of applicable law.

Retrailed reserves the right to assume exclusive control of the defense of any matter subject to indemnification, in which case you agree to reasonably cooperate.

33. Limitation of Liability

To the maximum extent permitted by applicable law, Retrailed and its affiliates, officers, directors, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, or data, arising from or related to the Services.

To the maximum extent permitted by applicable law, Retrailed's total aggregate liability arising out of or relating to the Services or these Terms will not exceed the amount actually paid by the applicable user or Organization to Retrailed during the three (3) months immediately preceding the event giving rise to the claim.

For users who have not paid any fees to Retrailed during that period, Retrailed's aggregate liability will be limited to US$10, to the extent permitted by applicable law.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

34. Changes to These Terms

Retrailed may update these Terms from time to time.

The updated Terms will become effective when published or on another effective date specified in the updated Terms.

For material changes, Retrailed will provide reasonable notice, which may include email, in-application notification, or another appropriate method.

If you continue to use the Services after the updated Terms become effective, you accept the updated Terms.

If you do not agree to material changes, you may stop using the Services and delete your account, subject to any applicable Organization or subscription arrangements.

35. Assignment

You may not assign or transfer your rights or obligations under these Terms without Retrailed's prior written consent, except where such restriction is prohibited by applicable law.

Retrailed may assign or transfer these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, financing, or similar transaction.

36. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect.

37. No Waiver

Failure by Retrailed to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision later.

38. Entire Agreement

These Terms, together with the Privacy Policy and any applicable Organization agreement, subscription terms, order form, or other written agreement expressly incorporated into these Terms, constitute the entire agreement between you and Retrailed regarding your use of the Services.

If there is a conflict between these Terms and a separately executed written agreement between Retrailed and an Organization, the separately executed agreement will control to the extent of the conflict.
